These Conditions are an integral part of the software licensing agreement (hereinafter “the Software Licensing Agreement”) separately concluded between you and Live2D Inc. (hereinafter “Live2D”), and sets forth matters such as the term of the license, payment conditions and so forth. Without being otherwise noted, these Conditions shall use the terms defined in the Software Licensing Agreement.
The Customer shall conclude the Software Licensing Agreement after selecting one of the following subscription plans.
1.1 Lump-sum Payment
1.1.1 Single-month plan
1.1.2 Annual plan
1.2 Installment Payment
1.2.1 Annual plan
2.1 The term of the license for each subscription plan is as follows.
2.1.1 Single-month plan: one month from the start of usage
2.1.2 Annual plan: one year from the start of usage
2.2 The term of the license under the Software Licensing Agreement (hereinafter “License Term”) will begin immediately after Live2D has processed the first payment from the Customer.
3.1 If the Customer has selected lump-sum payment, the fees covering the entire License Term displayed at the time of purchase are paid in lump-sum in advance.
3.2 If the Customer has selected installment payment, the fees covering the entire License Term displayed at the time of purchase are paid in monthly installments.
4.1 Unless the Customer explicitly cancels the Software Licensing Agreement, the agreement will be automatically renewed on the date the License Term expires.
4.2 In the event of lump-sum payment, fees for the renewed period need to be paid by the expiration date of the License Term.
4.3 If the applicable tax rate (e.g. consumption tax, VAT) changes during your License Term, the tax-inclusive price will adjust accordingly.
5.1 Once paid, Live2D shall not refund any fees for any reason whatsoever.
5.2 The software cannot be returned for any reason whatsoever.
6.1 Unless for statutory reasons or otherwise provided for in the Software Licensing Agreement, a Customer may not cancel or terminate the Software Licensing Agreement during the License Term.
6.2 A Customer may request cancellation of the Software Licensing Agreement at any time by undertaking the designated procedures.
6.3 When a Customer has requested cancellation as provided for in the preceding paragraph, the Software Licensing Agreement shall terminate upon expiry of the License Term and shall not renew thereafter.
6.4 Even when a Customer has requested cancellation or termination of the Software Licensing Agreement before expiry of the License Term, Live2D shall provide no refunds to the Customer whatsoever, regardless of whether the subscription type is lump-sum payment or installment payment. Moreover, even when a Customer has requested cancellation or termination of the Software Licensing Agreement part-way through the License Term, the Customer shall not be exempted from the remaining obligation to make installment payments and will need to continue making installment payments to cover the entire agreed upon License Term.
6.5 Notwithstanding the provisions of the preceding paragraph, if a Customer cancels the Software Licensing Agreement within fourteen days of ordering, they shall receive a full refund. If a Customer cancels after 14 days have elapsed, no refund will be provided, and the Customer will have to pay fees covering the entire License Term that was selected.
7.1 When a Customer’s installment payment is delayed by 14 days or longer, Live2D may cancel the Software Licensing Agreement without providing any notice to the Customer.
7.2 When the Software Licensing Agreement is cancelled in accordance with the provisions of the preceding paragraph, the Customer shall justifiably lose the benefit of term with respect to all debts owing to Live2D and must immediately pay all debts to Live2D.
When a Customer is delayed in making payment to Live2D, the Customer shall pay a late payment charge at the rate of 12.5% (calculated daily on a 365 day-per-year basis) on the amount to be paid.
While the Software Licensing Agreement charges and other subscription conditions described herein may be changed, in such cases, the Customer shall always be notified to such effect in advance. Changed subscription conditions will take effect upon renewal of the Software Licensing Agreement.
本契約は、株式会社Live2D（以下、「Live2D社《といいます）とお客様との間で別途締結されたソフトウェア使用許諾契約（以下、「本使用許諾契約《といいます。）と一体をなすものであり、その使用許諾期間、支払条件等を定めるものです。本条件では、特に断り無く、本使用許諾契約で定義された用語を用いることがあります。
お客様は、次のサブスクリプションプランのいずれかを選択した上で、本使用許諾契約を締結するものとします。
1.1 一括支払い
1.1.1 単月プラン
1.1.2 年間プラン
1.2 分割支払い
1.2.1 年間プラン
2.1 各サブスクリプションプランの使用許諾期間は、次のとおりです。
2.1.1 単月プラン 使用開始から1か月
2.1.2 年間プラン 使用開始から1年
2.2 Live2D社が、お客様の最初のお支払いを処理した後直ちに、本使用許諾契約における本ソフトウェアの使用許諾期間（以下、「本使用許諾期間《といいます。）が開始します。
3.1 お客様が一括支払いを選択した場合、購入時に表示される本使用許諾期間全期間の料金を、あらかじめ一括で支払うものとします。
3.2 お客様が分割支払いを選択した場合、購入時に表示されるとおり、本使用許諾期間全期間の料金を、毎月分割して支払うものとします。
4.1 本使用許諾契約は、お客様が明示的に解約しない限り、本使用許諾期間の満了する日に自動的に更新されます。
4.2 一括支払いの場合、更新期間の料金は、本使用許諾期間満了日までに支払われる必要があります。
4.3 本使用許諾期間中に所定の税率（消費税や付加価値税等）が変更された場合、税込料金もそれに合わせて調整されます。
5.1 事由の如何にかかわらず、Live2D社は、一旦支払われた料金について、一切の返金をいたしません。
5.2 事由の如何にかかわず、本ソフトウェアを返品することはできません。
6.1 お客様は、法定の事由又は本使用許諾契約の定めのない限り、本使用許諾期間中に本使用許諾契約を解除又は解約することはできません。
6.2 お客様は、所定の手続をすることにより、いつでも本使用許諾契約の解約の申入れをすることができます。
6.3 お客様が、前項の解約の申入れをした場合、本使用許諾契約は使用許諾期間満了によって終了し、更新されません。
6.4 本使用許諾契約について、本使用許諾期間満了前に解約又は解約の申入れがされた場合であっても、Live2D社は、お客様に対し、一括払い、分割払いの別を問わず、一切の返金をいたしません。また、本使用許諾期間中途の解約及び解約の申入れであっても、お客様の分割払いの残債務は免除されず、お客様は、契約した使用許諾期間の全期間について継続して分割金を支払う必要があります。
6.5 前項までの規定にかかわらず、お客様が、ご注文後14日以内に本ソフトウェアの使用許諾契約を解約する場合は、全額返金されます。14日を経過後に解約する場合は返金されず、お客様は、選択した使用許諾期間全期間分の料金を支払う必要があります。
7.1 お客様が分割金の支払いを14日以上遅滞した場合には、Live2D社は、何らの催告も要さず、本使用許諾契約を解約することができるものとします。
7.2 前項の解約がされた場合、お客様はLive2D社に対して負っている債務の一切について当然に期限の利益を失い、直ちにLive2D社に対して全ての債務の支払いを行わなければなりません。
お客様がLive2D社に対する支払いを遅滞した場合、お客様は、支払うべき金額に対して年１２．５％の割合（年３６５日の日割計算）の遅延搊害金を支払うものとします。
本書に記載された、本使用許諾契約の料金その他のサブスクリプション条件は変更されることがありますが、その場合、必ず事前にその旨がお客様に通知されます。変更されたサブスクリプション条件は、本使用許諾契約の更新時より適用されます。
